1. Introduction<\/strong><\/p>

These Terms & Conditions (“Terms”) govern the access to and use of the website www.docpulse.com and the products and services offered by DocPulse Technologies Pvt. Ltd. (“DocPulse”, “we”, “us”, or “our”), a healthcare technology company headquartered in Bengaluru, Karnataka, India. By accessing this website, requesting a quotation, or subscribing to any DocPulse product or service, the visitor or client (“User”, “Client”, or “you”) agrees to be bound by these Terms.<\/p>

2. Services<\/strong><\/p>

DocPulse provides a hospital and healthcare management software platform, including but not limited to Electronic Medical Records (EMR), OP Billing, Pharmacy, Laboratory Information Management (LIMS), Appointment Management, and Telemedicine modules, delivered on a subscription basis to hospitals, clinics, and individual practitioners.<\/p>

3. Payment Terms<\/strong><\/p>

  • Unless otherwise agreed in writing, all payment fees are payable annually in advance.<\/p><\/li>

  • An annual price increase of up to 5% on software charges may apply from the second year of renewal onward.<\/p><\/li>

  • GST, currently at 18%, or any other applicable government tax, will be charged in addition to the quoted price.<\/p><\/li>

  • Late payments may attract additional charges at DocPulse’s sole discretion.<\/p><\/li>

  • Payment methods will be communicated by DocPulse along with quotations.<\/p><\/li><\/ul>

    4. Implementation, Training & Customization<\/strong><\/p>

    • Deployment and training are conducted remotely. Clients are entitled to a limited number of live training sessions (as specified in their quotation\/agreement) along with recorded training material for future reference. Additional live sessions beyond the included number will be chargeable.<\/p><\/li>

    • Any request to modify EMR, IP, or OP templates after the agreed post-go-live window will be treated as a customization request and billed separately.<\/p><\/li>

    • Custom form configuration and template configuration (e.g. Radiology, Pathology, or Prescription templates) are chargeable as per the applicable price list.<\/p><\/li>

    • Any customization, feature enhancement, integration workflow modification, or functionality requested by the client that falls outside the scope of DocPulse\u2019s existing standard product offering shall be treated as a new requirement. Such requests will be evaluated by DocPulse for technical, feasibility, effort and implementation timelines, and, if accepted, will be quoted and billed separately based on the applicable commercial terms.<\/p><\/li><\/ul>

      5. Data Storage, Retention & Migration<\/strong><\/p>

      • A defined amount of cloud storage is included as part of the subscription; usage beyond this limit is billed on a per-GB basis for image\/video data (text data is not counted toward this limit).<\/p><\/li>

      • Non-EMR data is retained for a limited period after subscription discontinuation; EMR data is retained for as long as the subscription remains active, in each case as specified in the applicable service agreement.<\/p><\/li>

      • Charges for migrating data from a client’s existing system depend on the volume and complexity of the data involved.<\/p><\/li><\/ul>

        6. User Responsibilities<\/strong><\/p>

        • Users must provide accurate, current, and complete information when registering for or using DocPulse’s services.<\/p><\/li>

        • Users are responsible for maintaining the confidentiality of their login credentials and for all activity that occurs under their account.<\/p><\/li>

        • Users agree to use the platform only for lawful purposes and in compliance with applicable healthcare regulations, data protection laws, and professional standards.<\/p><\/li>

        • Users must not misuse, attempt to gain unauthorized access to, or interfere with the security or normal functioning of the platform.<\/p><\/li>

        • Users are responsible for the accuracy of the clinical, billing, and patient data they enter into the platform.<\/p><\/li><\/ul>

          7. Confidentiality<\/strong><\/p>

          Any quotation, proposal, pricing information, or other non-public material shared by DocPulse with a client is confidential and intended solely for the recipient. It must not be shared with third parties without DocPulse’s prior written consent.<\/p>

          8. Data Ownership & Privacy<\/strong><\/p>

          All client and patient data entered into the DocPulse platform remains the sole property of the client. DocPulse does not sell, share, or monetize client or patient data with any third party, and processes data in accordance with its Privacy Policy and applicable data protection laws.<\/p>

          9. Limitation of Liability<\/strong><\/p>

          DocPulse will make reasonable efforts to ensure uninterrupted access to its platform; however, DocPulse shall not be liable for any indirect, incidental, or consequential loss arising from use of, or inability to use, the website or services, except where such liability cannot be excluded under applicable law.<\/p>

          10. Governing Law<\/strong><\/p>

          These Terms shall be governed by the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts at Bengaluru, Karnataka.<\/p>

          11. Amendments<\/strong><\/p>

          DocPulse reserves the right to update or modify these Terms at any time. Continued use of the website or services after such changes constitutes acceptance of the revised Terms.<\/p>
